These Terms of Service ("Terms") govern all service agreements between SEO Agency Tools S.r.l. ("SEO Agency Tools", "we", "us") and any individual or entity ("Client") purchasing services through seoagencytools.com. By completing a purchase, you confirm that you have read, understood, and accepted these Terms in full. If you are purchasing on behalf of a business, you confirm you have authority to bind that business to these Terms.
SEO Agency Tools provides digital marketing services including SEO Velocity, Paid Search Engine, Content Architecture, Conversion Amplification, Analytics Foundation, and Local Market Domination. All services are delivered digitally. No physical goods are produced, stored, or shipped at any point.
The specific scope of each engagement is confirmed in a written strategy document delivered in week two of each project, which the Client must approve in writing before execution begins. This written scope governs the engagement; descriptions on service pages and in checkout summaries are indicative.
SEO Agency Tools offers three pre-scoped bundles: Foundation (one-time project), Growth (monthly retainer), and Full Stack (monthly retainer). Monthly retainers have a minimum term of 3 months. All prices are in Euros (EUR). Payments are processed by Stripe Payments Europe Ltd. Italian businesses with a registered P.IVA must contact us before purchase to ensure correct IVA invoicing documentation.
Foundation Bundle: 50% payable on commencement, 50% on delivery. Growth and Full Stack: invoiced monthly on the same calendar date as the first payment.
SEO Agency Tools does not guarantee specific search engine rankings, organic traffic volumes, ROAS levels, conversion rates, or lead volumes. Search engine algorithms, advertising platform auction dynamics, and market conditions are all outside our control. We guarantee the quality and volume of work specified in the agreed scope and report outcomes honestly each month. Our 94% client renewal rate reflects that consistent, well-executed work produces results over time.
The Client agrees to provide accurate information at checkout and onboarding; grant required platform access (Google Search Console, GA4, Google Ads where applicable) within 5 business days of project start; review strategy documents and deliverables within 7 business days of receipt; and not simultaneously engage other agencies for overlapping service areas without informing us in writing.
All deliverables produced under contract (reports, content, strategy documents, creative assets where included) are licensed to the Client for their own use upon receipt of full payment for the relevant period. SEO Agency Tools retains the right to reference the nature and results of the engagement in case studies and portfolio materials unless the Client requests confidentiality in writing within 30 days of project completion.
Both parties agree to maintain confidentiality over proprietary information shared during the engagement. SEO Agency Tools will not disclose client business data, campaign metrics, strategy details, or financial information to third parties without written consent, except as required by Italian or EU law.
Growth and Full Stack retainers may be terminated by either party with 30 days written notice to hello@seoagencytools.com, after the 3-month minimum term has elapsed. The Foundation bundle is a one-time project; it concludes on final delivery and client acceptance. Refund terms on early termination are governed by the Refund Policy.
SEO Agency Tools' total liability to the Client for any claim shall not exceed the total fees paid in the 12 calendar months preceding the claim. SEO Agency Tools is not liable for indirect or consequential losses, including loss of revenue, business opportunities, or ranking changes caused by search engine algorithm updates or platform policy changes outside our control.
Neither party shall be liable for delays or failures caused by circumstances genuinely outside their control, including Google algorithm updates, platform policy changes, natural events, or government action.
These Terms are governed by Italian law. Disputes are subject to the non-exclusive jurisdiction of the courts of Salerno, Italy, unless the Client is a consumer resident in another EU member state, in which case they may also bring proceedings before their local courts under applicable EU consumer protection law.
